Terms of Service

1. Acceptance of Terms

These Terms govern access to and use of websites, applications, software tools, project systems, and related services operated by SEBANKS CO, LLC. By using these services, you agree to comply with these Terms, applicable laws, project agreements, and company policies.

2. Services

SEBANKS provides construction, technology, consulting, project management, document management, accounting support, procurement, scheduling, software, and related business services. Project-specific written agreements govern individual engagements.

3. Internal Business Applications

SEBANKS develops proprietary applications supporting construction management, accounting, document management, procurement, scheduling, workflow automation, AI-assisted document processing, and related business operations.

4. Authorized Use

Applications may be used only by authorized users for legitimate business purposes within assigned permissions.

5. Accounts and Security

Users are responsible for safeguarding account credentials and must not share credentials or attempt unauthorized access.

6. Construction Documents

SEBANKS applications may be used to manage drawings, specifications, contracts, submittals, shop drawings, RFIs, schedules, commissioning documents, closeout documents, invoices, photographs, BIM models, reports, and related project records. Users represent they have authority to upload and use such documents.

7. Ownership of Project Documents

Ownership, licensing, permitted use, and reuse of construction documents are governed by applicable project agreements, including owner, architect, engineer, consultant, contractor, and subcontract agreements.

SEBANKS claims no ownership interest in project documents solely because they are uploaded or managed within SEBANKS systems. Unless otherwise provided by written agreement, copyright and ownership of architectural and engineering instruments of service remain with their respective authors or owners.

8. Project Contracts

These Terms supplement, and do not replace, obligations established by executed construction contracts, professional services agreements, purchase orders, subcontracts, or other written agreements. If these Terms conflict with a project-specific written agreement, the project agreement controls.

9. Healthcare Projects and HIPAA

SEBANKS may provide services in hospitals, ambulatory surgery centers, medical office buildings, and other regulated healthcare environments.

10. Third-Party Platforms

Services may integrate with Microsoft 365, SharePoint Online, Microsoft Azure, Azure OpenAI, OpenAI, Google Workspace, Google Analytics, Google Maps, Stripe, Intuit QuickBooks Online, Twilio, and other cloud providers.

11. OAuth Authorization

The SEBANKS QuickBooks Online integration uses Intuit’s OAuth 2.0 authorization framework. Users may revoke authorization at any time through their QuickBooks Online account settings by following the instructions on the SEBANKS Disconnect QuickBooks Online Access page.

Similar OAuth technologies may be used with Microsoft and Google services. SEBANKS does not collect third-party account passwords through OAuth authentication.

12. AI-Assisted Features

Artificial intelligence may assist with OCR, document classification, specification review, invoice extraction, project administration, workflow automation, and document search. AI-generated output should be reviewed before being relied upon.

13. Audit Logging

Application activity may be logged for security, accounting, project administration, fraud prevention, troubleshooting, quality assurance, and compliance.

14. Intellectual Property

SEBANKS software, workflows, branding, automation, documentation, and related intellectual property remain the property of SEBANKS or its licensors unless otherwise agreed.

15. Availability and Changes

SEBANKS may modify, suspend, or discontinue services for maintenance, operational, contractual, business, or security reasons.

16. Prohibited Conduct

Users must not attempt unauthorized access, upload malicious code, misuse confidential information, interfere with security, or violate applicable law or contract.

17. Suspension and Termination

Access may be suspended or terminated for violations of these Terms, company policies, contractual obligations, security requirements, or applicable law.
